Jensen Huang and other senior Nvidia executives have disclosed a series of stock disposals. Most of the transactions, however, were company withholdings to cover taxes incurred during restricted stock unit vesting, rather than voluntary share sales by the executives.
According to a filing with the U.S. Securities and Exchange Commission on Sept. 18, Huang reported disposing of 45,728 Nvidia shares on Sept. 16 at $212.17 each. The transaction was worth about $9.7 million. The filing listed transaction code "F," which is used when a company withholds shares to cover taxes and related obligations.
Nvidia said the transaction reflected shares the company withheld from Huang to satisfy tax obligations arising from the vesting of previously granted restricted stock. That makes it different from a regular open-market sale.
Other senior executives reported similar transactions. Chief Operating Officer Debora Shoquist disposed of 35,008 shares on the same day at $212.17 each for tax purposes. General Counsel Timothy Teter reported disposing of 35,738 shares at the same price. Chief Accounting Officer Scott Gawel also had 2,932 shares withheld at that price.
Chief Financial Officer Colette Kress separately carried out an actual open-market sale. Kress first disposed of 40,747 shares on Sept. 16 to cover taxes related to RSU vesting, then sold 34,918 shares in three transactions on Sept. 17. The shares were sold at about $218 to $220 each, for total proceeds of about $7.6 million.
